1. All wholesale orders over $500.00 that are paid with a credit card will have a merchant service charge of 3%. We prefer certified funds: official checks, certified checks and bank wires. Once funds are cleared, wholesale orders will be shipped via USPS or the safest and cost effective method to their destination.
2. Orders of $ 3,000.00 or more will be shipped free by True Healthy Products LLC.
3. Orders under $3,000.00, wholesalers agree to pay all shipping, insurance and handling fees.
4. True Healthy Products LLC will calculate and arrange the lowest and safest possible shipping method on a per order basis. Wholesaler will be notified of total cost of shipping, insurance and cost of products before processing your order.
5. All wholesale purchases are non-refundable.
6. All wholesale purchases must be made by submitting an email to support@truehealthyproducts.com or faxing your order to 321-821-1310. We will contact you within 24 business hours to process your order.

Please include in the email or Fax with your order information:

1. Products you would like to purchase – All orders must be ordered by case lots of 6 for each product, minimum.
2. Company name
3. Billing and Shipping address
4. Contact information of person ordering including email address

Once we receive your order via email or fax, we will contact you with shipping costs and will process your order over the phone.

Wholesale (Reseller) Agreement – Policies and Procedures

Wholesale Terms & Conditions:

1. As a wholesaler you are authorized to retail any of the products we currently have in our wholesale product line (with a few exceptions), and those that we add in the future, at your retail establishment, subject to the terms and conditions in this agreement. For a list of wholesale products please go to the top of this page.
2. Wholesaler agrees that the majority of their sales will occur at their physical retail establishment.
3. Wholesaler may promote products on its website in accordance with the rules set forth in this agreement.
4. Company reserves the right at any time to update and change wholesale (reseller) – policies and procedures in the future and will be available at www.truehealthyproducts.com/wholesale. Company will contact wholesalers with updates through email and US postal mail, using company’s current physical address and email on file. It is the responsibility of the wholesaler to keep company current with contact information.
5. Wholesaler acknowledges that we are granting them preferential pricing and they are required to purchase our products in case lots at up to 40% off the recommended retail price.  Wholesaler also agrees to pay all shipping and handling fees for products to be delivered. 6. All of our products sold on the internet must be sold at the current listed retail price, unless prior authorization has been obtained from True Healthy Products to give a discount. For current pricing please go to the top of this page.
7. This agreement is binding and non-transferable.
8. This agreement will last for a period of one year, and will automatically renew each year unless the wholesaler notifies us in writing of their desire to cancel this agreement, if the wholesaler has been terminated, or at the discretion of the company.
9. Use of any of the trademarks of our products for advertising purposes must be approved by the company.  The company will provide wholesalers with some pre-approved written ads, logos, artwork, videos, and other marketing materials that can be used by the wholesaler for the purposes of promotion of our products, you can find this information at www.truehealthyproducts.com/wholesale
10. Wholesaler acknowledges they are an independent contractor and does not have a relationship of partner, principal, agent, or employer/employee. Wholesaler is responsible for their own tax considerations.
11. The company and manufacturer holds harmless the wholesaler from and against any and all losses, damages, liabilities, reasonable attorney’s fees, court costs and expenses resulting or arising from any third-party claims, actions, proceedings, investigations, or litigation relating to or in connection with this Agreement, or any act or omission by the company or manufacturer.

Wholesale Internet Marketing Limitations:

1. Wholesalers may offer our products on the internet.  All content used must come directly from www.truehealthyproducts.com/wholesale or www.truehealthyproducts.com.   A list of other True Healthy Product sites will be listed here, when they are available, wholesaler may use content from these sites in its present form.
2. You may not make any modifications to the content found on these websites. This includes unauthorized claims or testimonials. If you wish to contribute to our approved content please contact us in writing at support@truehealthyproducts.com or by fax at (321) 821-1310.
3. Modifying or changing content will result in immediate termination of this agreement and you will no longer be eligible to purchase or resell our products.  All content, other than what is provided by the company must be authorized, in writing, in advance, by the company.  Using unapproved content will result in the termination of this agreement.

Google And All Pay-Per-Click Traffic Purchasing:

1. If you chose to advertise through pay-per-click in an effort to direct traffic to your website, wholesalers may not purchase keyword or keyword phrases using the brand names of any or our products, for example, you may NOT use “Stemulite” (or any keywords using that word), “Stemulite Fitness Formula”, “The Doctor’s Chocolate” , “9adayplus”, “Protein Power Mix”
2. We closely monitor traffic using keywords through pay-per-click advertising. Using prohibited keywords will result in immediate termination of this agreement and you will no longer be eligible to purchase or resell any of our products.

Miscellaneous:
No provisions of this Agreement may be modified, waived or discharged unless such waiver, modification or discharge is agreed to in writing signed by authorized officers of each party. No agreements or representations, oral or otherwise, express or implied, with respect to the subject matter hereof have been made by either party which is not set forth expressly in this Agreement. The validity, interpretation, construction and performance of this Agreement shall be governed by the laws of the State of Florida. Any controversy arising under or in relation to this Agreement shall be settled by binding arbitration in Melbourne, Florida in accordance with the laws of the State of Florida and the rules of the American Arbitration Association.
